Humanoid robot maker Agility Robotics lines up $465m ahead of Nasdaq debut
Humanoid robot maker Agility Robotics is a step closer to the stock market. The Oregon-based company said on Friday, 30 October, that it expects to raise about $465 million through its merger with Churchill Capital Corp XI, a listed blank-cheque company, ahead of a planned Nasdaq debut next week.
The money would come from three places: about $164 million left in Churchill XI’s trust account after shareholders decided whether to take their cash back, about $201 million from a private share sale priced at $10 a share and led by Foxconn, and $100 million Agility has already received since the deal was announced. The figure is before transaction expenses.
Churchill XI shareholders are due to vote on the deal on Monday, 2 November. If they approve it, the merger is expected to close on Wednesday, 4 November, and the combined company is expected to start trading on the Nasdaq on Thursday, 5 November, under the ticker symbol AGLT.
Agility makes Digit, a humanoid robot built to work alongside people in warehouses and factories, moving boxes and handling repetitive jobs. The newest version, Digit 5, was unveiled on 15 September, and Agility says it has more than $300 million in committed multi-year orders for it — a figure the company cautions is potential value over time, not revenue earned today. Early deliveries are planned for the first half of 2027.
Why it matters
If the listing goes ahead, the companies say Agility would become the only pure-play humanoid robotics company listed in the United States with robots already working for paying customers. Its backers include Nvidia, Amazon and SoftBank Vision Fund 2, and its robots have logged more than 65,000 hours of real-world work, according to the company. The deal is also a test of investor appetite for humanoid robots, a field where big promises have so far outrun sales.
What happens next
All eyes are now on Monday’s shareholder vote. If it passes and the deal closes as planned, Agility will trade as AGLT from 5 November, and investors will watch whether the shares hold up — and whether Digit 5 orders turn into real deliveries in 2027.
