Embraer to split its New York-listed shares four-for-one from 16 November

Brazilian plane maker Embraer has announced a four-for-one split of its shares listed in New York. From Monday 16 November, each American Depositary Share (ADS) — the form in which Embraer’s shares trade in the United States — will stand for one of the company’s ordinary shares instead of four. The company announced the change on Friday 30 October.

Investors who hold the ADSs when trading closes on Monday 9 November will receive three extra ADSs for every one they own. The new shares will be delivered after trading closes on Friday 13 November, and trading at the new, lower price per share begins when the market opens on Monday 16 November. The shares will keep trading on the New York Stock Exchange under the same ticker symbol, EMBJ. JPMorgan Chase Bank, which looks after Embraer’s ADS programme, will carry out the change.

Nothing about the company itself changes. Embraer will not issue any new ordinary shares, and the total value of each investor’s holding stays the same: they will simply own four times as many ADSs, each worth about a quarter of the old price. The split only changes how the shares are divided up, not how much of the company each investor owns.

Embraer, based in São José dos Campos in Brazil, was founded in 1969 and has delivered more than 9,000 aircraft. It is the leading maker of commercial jets with up to 150 seats, and its aircraft carry more than 150 million passengers a year.

Why it matters

A lower price per share can make a stock easier for smaller investors to buy, since each share costs less even though the company’s overall value is unchanged. TipRanks reports the move is expected to improve the liquidity and accessibility of Embraer’s US-listed shares — in plain terms, making them easier to trade.

What happens next

Investors do not need to apply for the extra ADSs: JPMorgan Chase, the depositary bank, will carry out the change. The dates to note are 9 November, when the list of holders is fixed; 13 November, when the extra ADSs are delivered; and 16 November, when trading starts at the new price.
